Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your use of Pixelex Exchange, a cloud-based document control and tracked correspondence platform operated by Pixelex Pty Ltd (ABN pending) (“Pixelex”, “we”, “us”). By creating an account or using the platform, you agree to these Terms.

Pixelex Exchange is designed for architecture, engineering, and construction (AEC) design practices requiring enterprise-grade document control, tracked correspondence, and complete audit trails.

2. Account Registration

To use Pixelex Exchange, you must register an account with a valid email address and create an organisation. You are responsible for maintaining the security of your account credentials and for all activity under your account.

Each user account must represent a real individual. Organisation administrators are responsible for managing user access within their organisation.

3. Service Description

Pixelex Exchange provides:

• Tracked correspondence (RFIs, site instructions, design queries)
• Document register with version control and revision management
• Transmittals with delivery tracking and acknowledgement
• Complete audit trail with export capabilities
• Multi-organisation project collaboration with role-based access control

4. Data Ownership & Sovereignty

Your organisation retains full ownership of all data uploaded to or created within Pixelex Exchange. We do not claim any intellectual property rights over your content.

Each organisation's data is logically isolated using row-level security. Your data is only visible to users within your organisation and to project collaborators you explicitly invite.

5. Immutability & Audit Trail

Certain records within Pixelex Exchange are immutable once finalised. Sent correspondence, issued transmittals, and document revisions cannot be modified or deleted after creation. This ensures the integrity of the audit trail.

All actions within the platform are logged in a tamper-proof audit trail. Audit records are append-only and cannot be modified or deleted.

6. Acceptable Use

You agree not to:

• Use the platform for unlawful purposes
• Upload malicious files or content
• Attempt to bypass security controls or access other organisations' data
• Reverse-engineer or decompile any part of the platform
• Exceed reasonable usage limits or perform automated scraping

7. Subscription & Billing

Access to Pixelex Exchange requires an active subscription. During the beta period, access may be provided at no charge via promotional pricing. Subscription fees, when applicable, are billed monthly or annually via Stripe.

We reserve the right to change pricing with 30 days' notice. Existing subscribers will be notified of any pricing changes before their next billing cycle.

8. Service Availability

We aim to provide 99.9% uptime but do not guarantee uninterrupted service. We may perform scheduled maintenance with reasonable notice. We are not liable for downtime caused by factors outside our control.

9. Limitation of Liability

To the maximum extent permitted by Australian law, Pixelex's total liability to you for any claims arising from your use of the platform is limited to the amount you paid for the service in the 12 months preceding the claim.

Pixelex is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

10. Termination

Either party may terminate this agreement with 30 days' written notice. Upon termination, you may export your data for up to 90 days. After this period, your data may be permanently deleted.

We may immediately suspend or terminate accounts that violate these Terms or are used for unlawful activity.

11. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any disputes will be resolved in the courts of New South Wales.
